Terms and Conditions

Overview

This website is operated by ProSource Supply Ltd. (“ProSource”, “we”, “us”, “our”). We offer this website, including all information, tools and services available from it (the “Service”), on the condition that you accept these terms, conditions, policies and notices. By visiting the site or buying from us, you agree to be bound by these Terms and Conditions, including the policies they refer to. They apply to everyone who uses the site, whether browsing, ordering or contributing content. If you do not agree, please do not use the site. New features and tools added to the site are also subject to these terms.

Trade accounts

Ordering on account is for approved ProSource trade customers. Your company’s account admin decides who on your team can sign in, place orders and see your pricing. You are responsible for orders placed under your company’s logins, and for keeping your account and contact information current, complete and accurate so we can complete your orders and reach you.

Using the site

• You must be of the age of majority in your province or state of residence to use the site.
• You may not use our products or the site for any illegal or unauthorized purpose, or break any law in your jurisdiction (including copyright law).
• You must not transmit any worms, viruses or code of a destructive nature.
• You may not reproduce, duplicate, copy, sell, resell or exploit any part of the Service without our express written permission.
• Breaking any of these terms will end your use of the Service immediately.

We reserve the right to refuse service to anyone for any reason at any time. Your content (not including card details) may travel unencrypted across networks; card details are always encrypted.

Prices and orders

Prices shown are your account’s prices in Canadian dollars, before applicable taxes and freight unless shown otherwise. Prices are subject to change without notice. An order is accepted when we confirm it; we may contact you if an item is unavailable or a price has changed.

We reserve the right to refuse or cancel any order, and to limit quantities per account or per order. If we change or cancel an order, we will try to let you know using the email, phone number or address on the order.

Payment

For charge sales, payment terms are NET 30 unless otherwise specified. Orders on account are invoiced on your account’s terms, and invoices can be paid by card through the portal.

Pick-up and delivery

Pick-up orders are collected from the branch you choose; the branch will contact you when your order is ready. Shipped orders go by our own truck, courier or freight carrier, with the cost shown at checkout or quoted before shipping. Short shipments must be reported within 48 hours of receipt; see our Returns, Warranty and Short Shipments policy.

Products

We make every effort to show the colours and images of our products accurately, but cannot guarantee that your screen shows any colour accurately. We may limit the sale of products to any person, region or jurisdiction, limit quantities, and discontinue any product at any time. Product descriptions and pricing may change at any time without notice. Any offer made on this site is void where prohibited.

Accuracy of information

We are not responsible if information on this site is not accurate, complete or current. It is provided for general information and should not be the sole basis for decisions. Occasionally the site may contain typographical errors, inaccuracies or omissions in product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct them and to change or cancel orders if information is inaccurate, at any time and without notice, including after you have placed an order.

Changes to the Service

We may modify or discontinue the Service, or any part of it, at any time without notice. We are not liable to you or anyone else for any modification, price change, suspension or discontinuance of the Service.

Third-party tools and links

The site may give you access to third-party tools and links to third-party websites that we do not monitor or control. They are provided “as is”, without warranties of any kind, and we are not responsible for their content, accuracy, products or services. Please review a third party’s policies before dealing with them; questions about third-party products should go to the third party.

Comments and submissions

If you send us ideas, suggestions or other material, you agree that we may use them in any medium without restriction, obligation of confidentiality, or payment. You agree that what you send will not infringe anyone’s rights, will not be unlawful, abusive or obscene, and will not contain malware, and that you will not use a false email address or mislead us about who you are.

Prohibited uses

You may not use the site or its content: for any unlawful purpose or to encourage unlawful acts; to violate any regulation, rule or law; to infringe our intellectual property or anyone else’s; to harass, abuse, insult, harm, defame or discriminate; to submit false or misleading information; to upload or transmit malicious code; to collect or track the personal information of others; to spam, phish, pharm, pretext, spider, crawl or scrape; for any obscene or immoral purpose; or to interfere with or get around the security of the site. We may end your use of the site for any of these.

Disclaimer of warranties and limitation of liability

We do not guarantee that the Service will be uninterrupted, timely, secure or error-free, or that results from using it will be accurate or reliable. We may remove the Service for any length of time or cancel it without notice. Your use of the Service is at your own risk. The Service, and the products and services delivered through it, are provided “as is” and “as available”, except as we expressly state, without warranties or conditions of any kind, express or implied, including merchantability, fitness for a particular purpose, durability, title and non-infringement. Product warranties are covered in our warranty policy.

In no case shall ProSource, our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data or replacement costs, whether in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Service or any product bought through it, even if advised of their possibility. Where the law does not allow these exclusions, our liability is limited to the maximum extent the law permits.

Indemnification

You agree to indemnify, defend and hold harmless ProSource and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, suppliers and employees from any claim or demand, including reasonable legal fees, made by a third party because of your breach of these terms or the documents they refer to, or your violation of any law or anyone’s rights.

Severability

If any part of these terms is found unlawful, void or unenforceable, it will still be enforced to the fullest extent the law allows, and the unenforceable part will be treated as removed without affecting the rest.

Termination

These terms remain in effect until ended by you or by us. You may end them at any time by telling us you no longer wish to use the Service, or by no longer using the site. If we believe you have not complied with these terms, we may end them at any time without notice and deny you access; you remain liable for all amounts due up to and including the date of termination. Obligations and liabilities incurred before that date survive it.

Entire agreement

Our not exercising or enforcing any right in these terms is not a waiver of it. These terms and any policies we post on this site are the entire agreement between you and us for the Service, and replace any earlier agreements, communications and proposals, oral or written, including earlier versions of these terms. Any ambiguity is not to be interpreted against the drafting party.

Governing law

These terms, and any separate agreements under which we provide you services, are governed by the laws of Canada.

Changes to these terms

We may update, change or replace any part of these terms by posting the changes on this page; the date at the top shows when they last changed. Your continued use of the site after changes are posted means you accept them. Terms at our branches may differ, so please speak with your branch manager about them.
